Framework Agreement for Concierge Services and Errands

Version 2026-02 · Electronic agreement · Assistant.az

ASSISTANT MMCVÖEN: 1507451671[email protected]

The Client is the Assistant.az account user who accepts this Agreement in the prescribed manner.

1. Parties

The Provider is ASSISTANT LLC (Assistant Məhdud Məsuliyyətli Cəmiyyəti), Tax ID 1507451671, address AZ1033, Bakı şəhəri, Nərimanov rayonu, Heydər Əliyev prospekti, ev 80, mənzil 11, represented by Director Rashad Taghiyev acting under the charter. Together with the Client, it is a Party.

2. Scope

The Provider performs agreed organisational, informational, consulting, representation and other lawful services under individual requests, including errands, sourcing and purchasing goods, delivery and transfers, accompaniment, bookings, coordination with suppliers and institutions, and personal or business assistance. Licensed medical, legal, banking, security and other regulated services are provided by authorised third parties; Assistant coordinates the engagement where needed.

3. Electronic acceptance

The Agreement is provided before acceptance and becomes effective after the Client takes a separate confirming action on the website. The Provider may retain the agreement number and version, acceptance date and time, account identifier and necessary technical evidence within applicable law. Acceptance alone does not place a paid order or authorise a charge.

4. Orders

The Client submits a request describing the required result. The Provider proposes the scope, price, timing or method of determining it, and material limitations. Prices and timing are preliminary until confirmation. Additional paid work and expenses require the Client's prior approval.

5. Price and payment

The price is agreed before confirmation. The required amount may include the Provider's fee and agreed expenses for goods, delivery, tickets, bookings, public charges and third-party services. The full agreed amount is disclosed before payment. Silence is not consent to extra charges.

6. Provider's rights and duties

The Provider acts diligently, gives accurate information about agreed terms, uses funds for the confirmed purpose, protects confidentiality, reports material changes and considers justified complaints. It may choose the organisational method, engage third parties, request necessary information and suspend work when payment or required information is missing.

7. Client's rights and duties

The Client provides accurate information, pays confirmed orders on time, supplies required documents and approvals, does not request unlawful acts and follows account-security rules. The Client may receive order status and price information, require proper performance, obtain payment confirmations and cancel an order under this Agreement and applicable law.

8. Goods and suppliers

Before purchase, the Provider will where reasonably possible confirm specifications, availability, price and sale and delivery terms. Purchase follows approval of material conditions. A sale by an independent supplier is governed by applicable law and the seller's terms; this does not remove the Provider's responsibility for its own agreed actions.

9. Delivery, transport and accompaniment

Delivery, transport and accompaniment timing is agreed separately and may depend on carriers, customs authorities and other participants. The Provider reports material delays. Accompaniment to a medical facility is not medical care; an emergency is referred to the appropriate services.

10. Cancellation and refunds

The Client may cancel an order as permitted by law and this Agreement. Before performance begins and before non-refundable obligations arise, a refund may be made after accounting for completed work and objectively non-refundable costs. After performance begins, the refund reflects work completed and costs incurred. Refunds use the original payment method where possible; bank and payment-system crediting time depends on those institutions.

11. Liability

The Provider is responsible for its own agreed organisational actions, but does not guarantee decisions of authorities, banks, carriers, hotels, sellers, medical organisations or other independent providers. Nothing excludes liability for wilful misconduct, fraud, gross negligence or any liability that cannot lawfully be limited.

12. Security and fraud prevention

The Provider applies reasonable safeguards to orders, payments and data. Staff and contractors may not change prices or demand payment without authority. Assistant does not request banking-app passwords, PINs, CVV/CVC or payment confirmation codes. A suspicious operation may be paused for verification.

13. Confidentiality and personal data

Personal data is processed on a lawful basis for registration, order fulfilment, accounting, security and legal compliance. Access is limited to what is necessary. The Privacy Policy explains data categories, purposes, retention and user rights. Assistant does not request or store full card details or CVV/CVC.

14. Events beyond control

A Party is relieved from liability for force-majeure events to the extent allowed by law, including exceptional natural events, war and mandatory government restrictions. Ordinary commercial difficulty or lack of funds is not force majeure by itself.

15. Complaints and disputes

Questions about an order, payment, cancellation, refund or disputed transaction may be sent to [email protected] or through the account, stating the order or invoice number and circumstances. The Provider responds within 10 business days unless a different statutory period applies. The Parties first seek negotiation, then the competent court.

16. Term and termination

The Agreement takes effect upon valid electronic conclusion and continues until terminated. Either Party may initiate termination. Termination does not automatically end confirmed orders. Account closure and retention of required records are handled in accordance with law.

17. Changes

General terms may be changed for the future with prior notice and in compliance with law. Material changes require renewed acceptance where required. Changes do not apply retroactively to confirmed orders without agreement.

18. Final provisions

This Agreement is governed by the laws of the Republic of Azerbaijan. Invalidity of one provision does not invalidate the remainder. Specific order terms prevail to the agreed extent. Language versions must convey the same meaning, and the applicable version is identified before acceptance.

19. Provider details
